1. Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you and GetGem regarding your access to and use of GetGem's websites, software, WhatsApp-based functionality, dashboard, Private Showroom, Vaults, search tools, jewelry design tools, diamond analysis tools, listing tools, and other related digital services (collectively, the "Service").
By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The GetGem Service
GetGem is a subscription-based software platform designed for diamond and jewelry professionals. Depending on your account, plan, location, and product availability, the Service may include:
- Natural-language diamond search through supported GetGem interfaces, including WhatsApp.
- Personalized matching and Private Showroom functionality.
- Diamond and jewelry listing, media, contact, and management tools.
- AI-assisted jewelry design and visualization features.
- Diamond certificate analysis and professional decision-support tools.
- Dashboard, Vault, notification, and account-management features.
Features may be added, modified, limited, or discontinued as the Service evolves.
3. Eligibility, Verification, and Accounts
You must have legal capacity to enter into a binding agreement and must provide accurate, complete, and current information when creating and maintaining your account.
GetGem may require identity, business, contact, or industry verification, including KYC or similar checks, before granting access to some or all features. You are responsible for keeping your login credentials, verified contact methods, and account access secure.
You may not share credentials in a way that circumvents account limits or subscription requirements. You are responsible for activity conducted through your account unless caused by GetGem's own security failure.
4. Subscription, Pricing, and Billing
Paid access to GetGem is offered on a recurring subscription basis at the price and billing interval shown on the applicable pricing or checkout page. Current public pricing is available at GetGem Pricing.
For transactions processed through Paddle, Paddle acts as Merchant of Record for the subscription transaction. This means Paddle processes the purchase and may handle applicable payment collection, taxes, invoices, refunds, chargebacks, and buyer-facing payment obligations. Your transaction may also be subject to Paddle's applicable buyer terms and policies.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service for payment-related inquiries and handles returns and refunds for Paddle-processed purchases.
Subscription fees provide access to GetGem software and digital features. They do not constitute payment for any physical diamond, gemstone, jewelry item, or other goods offered by another GetGem user.
Unless otherwise stated at checkout, subscriptions renew automatically at the end of each billing period until cancelled. You authorize the applicable payment provider to charge the payment method on file for recurring subscription fees and applicable taxes.
Before completing a paid subscription purchase, you must be given access to these Terms and the Refund Policy and must accept them as part of the purchase flow.
GetGem may change subscription pricing or plan structure prospectively. Where required, we will provide notice before a price change applies to an existing subscription.
5. Free Trial
If GetGem offers a free trial, the duration and eligibility conditions will be shown when you register. A trial may be limited to one per person, business, account, phone number, payment method, or other reasonable identifier.
Where GetGem offers a card-free trial, no subscription charge is made merely because the trial period expires. Continued access to paid features after the trial may require purchasing a subscription.
GetGem may modify or discontinue trial offers for future users at any time.
6. Cancellation and Refunds
You may cancel your subscription through the available billing or account-management flow. Unless otherwise required by law or stated at checkout, cancellation stops future renewals and paid access continues until the end of the already-paid billing period.
Refund eligibility is governed by our Refund Policy, applicable law, and where relevant the policies of the payment provider or Merchant of Record processing your transaction.
Deleting your GetGem account does not automatically guarantee a refund of subscription fees already charged.
7. GetGem's Role in Marketplace Transactions
GetGem provides software that helps users discover, display, organize, and communicate about diamonds, gemstones, jewelry, and related opportunities. Unless GetGem expressly provides a separate transaction service, GetGem is not the buyer or seller of physical goods listed by users.
Users are independently responsible for evaluating counterparties, negotiating commercial terms, verifying goods and documentation, arranging inspection, shipping, insurance, customs, taxes, payment, and completing any transaction.
A GetGem subscription does not guarantee that a user will find a buyer, seller, matching diamond, completed transaction, or particular commercial result.
Where users transact directly with one another outside a separate GetGem-managed transaction service, GetGem is not a party to that transaction and does not hold or transfer the purchase funds.
8. Listings, Certificates, Media, and User Content
You are responsible for content you upload, submit, publish, or transmit through the Service, including listings, GIA or other grading documents, photographs, videos, descriptions, prices, contact details, voice messages, and design instructions ("User Content").
You represent that you have the rights and permissions needed to provide User Content and that it is accurate and not misleading to the best of your knowledge.
By submitting User Content, you grant GetGem a non-exclusive, worldwide, royalty-free license to host, process, reproduce, format, display, transmit, and otherwise use that content as reasonably necessary to operate, secure, improve, and provide the Service.
GetGem may review, reject, pause, remove, or restrict listings or content that appears inaccurate, unlawful, misleading, infringing, unsafe, or inconsistent with these Terms or platform policies.
9. Acceptable Use
You may not use the Service to:
- Violate applicable law, sanctions, export controls, anti-money-laundering requirements, or the rights of others.
- Post counterfeit, stolen, fraudulently represented, or unlawfully traded goods.
- Submit false certificates, misleading media, manipulated ownership information, or deceptive listings.
- Attempt unauthorized access to accounts, systems, data, APIs, models, infrastructure, or other users' information.
- Introduce malware, automate abusive traffic, scrape the Service in an unauthorized manner, or interfere with normal operation.
- Reverse engineer or misuse the Service except where such restriction is prohibited by applicable law.
- Use GetGem to harass, defraud, impersonate, or mislead another person or business.
10. AI-Assisted Features and Professional Judgment
Some GetGem features use automated or AI-assisted systems to generate search interpretations, matches, jewelry concepts, visual outputs, transcription, diamond analysis, suggestions, or other content.
AI-generated or automated outputs may contain errors, omissions, approximations, or unexpected results. They are provided as tools to support professional workflows and are not a substitute for independent inspection, grading, valuation, legal advice, tax advice, gemological advice, or other professional judgment.
You are responsible for reviewing outputs before relying on them in a commercial, manufacturing, grading, purchasing, or selling decision.
11. Service Availability and Changes
We aim to provide reliable access to GetGem but do not guarantee uninterrupted, error-free, or continuously available operation. Temporary interruptions may occur because of maintenance, updates, internet or telecommunications issues, third-party service failures, security events, or other causes.
We may update, replace, limit, suspend, or discontinue features when reasonably necessary for security, compliance, performance, product development, or business reasons.
12. Intellectual Property
GetGem and its licensors retain all rights, title, and interest in the Service, including software, interfaces, branding, databases, workflows, designs, documentation, trademarks, and other proprietary materials, excluding User Content owned by users or third parties.
Subject to these Terms and an active entitlement where required, GetGem grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your legitimate personal or business use.
13. Privacy and Data
Our collection and use of personal information is described in the GetGem Privacy Policy. Payment providers such as Paddle may separately process information under their own privacy notices when they act as payment provider or Merchant of Record.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GETGEM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT WHERE SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.
GetGem does not guarantee the authenticity, ownership, condition, value, availability, legality, grading outcome, or commercial performance of goods offered by users, even where GetGem performs moderation, document review, matching, or automated analysis.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETGEM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; OR LOSSES ARISING FROM DIRECT USER-TO-USER TRANSACTIONS, RELIANCE ON AI OUTPUTS, THIRD-PARTY SERVICES, OR UNAUTHORIZED ACCOUNT ACCESS NOT CAUSED BY GETGEM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETGEM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE SUBSCRIPTION FEES YOU PAID FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless GetGem and its officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Service, your User Content, your breach of these Terms, or your direct transactions with other users.
17. Suspension and Termination
You may stop using GetGem at any time and may cancel a paid subscription as described above.
GetGem may suspend, restrict, or terminate access where reasonably necessary because of non-payment, fraud, security risk, sanctions or compliance concerns, abuse, material breach of these Terms, unlawful activity, or risk to GetGem, other users, or third parties.
Where appropriate and legally permitted, we may provide notice or an opportunity to cure before termination. Provisions that by their nature should survive termination will remain in effect.
18. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Where required by law or where a change materially affects your rights, we will provide additional notice.
Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
19. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which the GetGem contracting entity identified in Section 20 is established, without regard to conflict-of-laws principles, except to the extent mandatory consumer or other laws require otherwise.
Any dispute relating to these Terms or the Service will be handled by the competent courts applicable to that contracting entity, unless mandatory law provides a different forum.
